Anti-Bribery and Anti-Corruption

DETECTsystem represents, warrants, and undertakes that, in connection with this Agreement, it complies and shall continue to comply with all applicable anti-bribery and anti-corruption laws, including applicable laws of European Union Member States, the United Kingdom, including the UK Bribery Act 2010, and the United States, including applicable federal and state laws and the U.S. Foreign Corrupt Practices Act, as amended, in each case to the extent applicable.

DETECTsystem shall not, directly or indirectly, offer, promise, give, authorize, request, or accept any bribe, kickback, or other improper financial or non-financial advantage involving any public official or private person for the purpose of improperly influencing any act or decision, inducing or rewarding improper performance, or obtaining or retaining business or any other improper advantage.

DETECTsystem shall maintain policies, procedures, and controls reasonably proportionate to its corruption risks.
